Management Team

Ajay Khandelwal

Ajay is a CA, CS and US CPA.

Ajay had a successful stint of 30 years in the corporate world. He held progressively responsible positions and worked as CFO for Renew Power, B. C. Jindal group and Acme Solar. He also headed the finance, secretarial and legal functions for 4 diverse companies of the Adani group, having operations across India.

He has organised private equity, debt and restructuring of more than USD 2 Billion and has established strong relationships across the entire spectrum of investors, bankers and corporate community. He has also led complex Merger and Acquisition transactions. Ajay has dealt with all major Indian banks at a senior level and has managed to obtain banking approvals for complex transaction like 5/25 scheme, second cost overruns. He led the second S4A transaction in India, and got approval from 21 banks for the same.

Ravi Sharma

Ravi has more than 10 years of post qualification experience and has immense experience in Securities Law, Company Law, legal Due Diligence. He also provides compliance services to banks and Financial Institutions in company law matters.

Sunil Gupta

Sunil has more than 30 years of post qualification experience. His expertise is in providing holistic solutions to corporates for issues concerning accounts, taxation, audit and compliances. He is advisor to many leading corporates. Sunil has also organized significant fund raising from banks and financial institutions.

Our Success Stories

Construction Finance

    • A company started its first real estate project in residential housing project development in a Tier II city in Western India.
    • We faced several barriers in raising the funding like lack of track record of company in residential projects, weak real estate market and COVID-19 pandemic.
    • We organised the loan tie up for the company at favourable terms.

Transaction Advisory services

    • Our client was an industrial group, who was evaluating a chemical company based in Mumbai which was under NCLT.
    • We were engaged to perform the financial and tax diligence and we conducted the DD in short span of time on request of the client.
    • Our report helped the client to make proper evaluation of target company and bid accordingly.

Acquisition Advisory Services

    • Our client is a group of HNI’s who were evaluating a world class entertainment and theatre destination.
    • We were engaged to conduct the financial and tax due diligence.
    • Our DD highlighted various critical issues, as a result of which the proposed transaction structure was reworked.                     

Mergers and Acquisitions

    • Mr. Ajay Khandelwal as a CFO of a large company negotiated an M & A deal of 500 Million USD.
    • He was on the sell side, selling an asset which was making substantial losses and the net worth had been eroded.
    • Finally, a deal with the buyer was closed which provided an exit to the current promoter.

Working Capital

    • Our client is a manufacturing company having consortium lenders. They were facing difficulty in manging across various lenders who had different security structure.
    • We devised a solution for the client and negotiated with the lead bank for obtaining its approval.
    • This resolved the issue and client was able to secure increased working capital funding.

Acquisition advisory services

    • Our client is an industrial group, they were evaluating a steel company which was under NCLT.
    • We conducted financial and tax due diligence services and helped the client assess and make proper evaluation of the target company.
    • We acted as a resolution professional for the company, and conducted due diligence services and helped the company to raise required funding.

Restructuring Services

    • Our client was a real estate developer in New Delhi, their flagship company was under NCLT.
    • They wanted to perform restructuring for one of their group companies.
    • They were facing a lot of resistance from lenders and our restructuring advisory helped the management to solve issues with the lenders.

Trade Finance

    • One of our clients was an EPC supplier to telecom companies, we helped them gain access to the required funds for smooth running of business.
    • They were expanding rapidly and wanted unsecured loan to help them grow.
    • We arranged unsecured trade finance for them which helped them improve their liquidity.

Working Capital Loan

    • Mr. Ajay Khandelwal as a CFO of a 1200 MW thermal power plant arranged a working capital loan of Rs. 600 Crore.
    • This was done under very difficult conditions for the project, whose coal block allocation had been cancelled and PPA’s were not fully tied up.
    • This involved tie up with 10 banks.

Structured Finance

    • A 1000 crore listed industrial company was under financial stress, one of the lenders had even filed in NCLT against the company.
    • Operations were falling continuously, due to lack of Working capital and support from banks.
    • We organized a Rs. 70 crore funding to pay off the lenders who had filed in NCLT and brought the company out of NCLT.

Financial Restructuring

    • Mr. Ajay Khandelwal as CFO of a 1200 MW thermal power plant, successfully restructured, debt exposure of Rs. 6000 crores.
    • He performed restructuring under 5/25 scheme of RBI where by the principal repayment was extended from 10 years to 18 years period.
    • This was done under very difficult conditions for a project, whose coal block allocation had been cancelled and PPA’s were not fully tied up.

Credit Rating Advisory

    • Our client was a listed company having a turnover of ~ 600 cr.
    • One of their group companies had to do OTS with banks. As a result, our client had a credit rating of BBB-
    • We presented the case to the Rating agency explaining the reasons beyond promoter control.
    • In 2 years, the rating has been enhanced from BBB- to A-

Working Capital Loan

    • Our client was an IT services provider.
    • They wanted an enhancement of WC limits from 50 to 100 cr.  However, they did not have adequate additional collateral security as asked by existing lenders. 
    • We managed to scout for a lender who provided the entire additional 50 cr loan, at a reduced collateral security cover %, which the client was able to provide.

Project Finance

    • Our client was setting up new projects of ~ 300 cr.
    • They were not getting support from their existing lenders.
    • We scouted and were able to bring new lenders on board, who provided the project loans 

MSME FINANCE

    • We have organised more than 250 cr of loans for MSME entities. 
    • In this we have solved the challenges faced by MSME, such as not having collateral, not having a sufficient track record.
    • These loans have been in the form of WC loans, CGTMSE and Business loans 

Credit Rating Advisory

    • Our client was undergoing restructuring with banks.
    • The credit rating agency did not give the RP4 rating to the restructuring plan.
    • We took the case and presented the case to the Rating agency.
    • The client was awarded RP4 rating and it went ahead with restructuring
